This Acceptable Use Policy (“AUP”) applies to all users of the Provendorprocurement platform (the “Service”) operated by Daros Systems, Inc., a Delaware corporation (“Daros,” “we”). It supplements and is incorporated by reference into our Terms of Service. In the event of a conflict, the Terms of Service prevail.
By using the Service you agree not to engage in the conduct described below and to ensure your employees, contractors, and anyone else you grant access comply with this AUP. We may update this AUP from time to time; material changes will be posted on this page with an updated “Last updated” date.
1. No illegal or infringing use
You must not use the Service to:
- violate any applicable law, regulation, sanctions regime, or the rights of any third party;
- infringe any patent, copyright, trademark, trade secret, or other intellectual property right;
- upload, transmit, or store content that is defamatory, obscene, harassing, threatening, or otherwise unlawful;
- conduct business with parties on U.S. OFAC, UN, EU, or UK sanctions lists, or in embargoed jurisdictions;
- facilitate money laundering, terrorist financing, fraud, or other financial crime.
2. No spam or abusive vendor outreach
The Service is built for bona-fide procurement activity. You must not use RFQ, messaging, or email features to:
- send unsolicited commercial email in violation of CAN-SPAM, CASL, PECR, GDPR, or any other marketing-communications law;
- send RFQs or vendor outreach that you do not genuinely intend to act on (e.g., fake inquiries to extract pricing benchmarks or harvest vendor data);
- harass, threaten, demean, or retaliate against vendors, buyers, or their employees;
- send misleading or deceptive communications, impersonate another person or organization, or falsify headers or sender identity;
- misuse the branded BCC, email forwarding, or vendor-invite features to circumvent a vendor's email preferences or suppression lists.
3. No harm to the Service or its users
You must not:
- probe, scan, or test the vulnerability of the Service or any related system except under a written authorization from Daros (see our security contact below);
- introduce malware, ransomware, worms, trojans, or other malicious code;
- interfere with, disrupt, or degrade the Service, including by overloading, flooding, or conducting denial-of-service attacks;
- bypass, disable, or otherwise circumvent rate limits, authentication, authorization, encryption, or other security or access controls;
- attempt to gain unauthorized access to any account, system, or data;
- reverse engineer, decompile, or disassemble the Service, or use the Service to build a competing product or to benchmark for a competing product without our prior written consent;
- scrape, crawl, or use bots to extract data from the Service except through documented APIs within their published rate limits.
4. No misuse of data
You must not:
- use the Service to harvest personal data, email addresses, phone numbers, or other contact information outside of legitimate procurement use;
- upload special categories of personal data (GDPR Art. 9), government-issued identifiers, payment card data, or protected health information unless expressly permitted in writing;
- sell, rent, or otherwise disclose vendor or buyer data obtained through the Service to third parties outside your organization except as needed to complete a procurement transaction or as required by law;
- use the Service to make credit, employment, insurance, or housing decisions about individuals.
5. Responsible use of AI features
AI features provide assistive outputs and may be incorrect, incomplete, or out-of-date. You must not:
- rely on AI outputs as legal, financial, medical, or other professional advice;
- use AI features to produce content that violates this AUP or applicable law;
- attempt to extract system prompts, model weights, training data, or other non-public information from the underlying models;
- circumvent safety mitigations or intentionally induce harmful, discriminatory, or deceptive outputs.
You remain responsible for reviewing and verifying AI outputs before relying on them for any procurement decision, vendor communication, or contract.
6. Accounts and credentials
- Keep your credentials confidential. You are responsible for activity under your account.
- Do not share individual accounts across multiple people; add each user as a seat instead.
- Notify us promptly at security@provendor.io of any suspected unauthorized access.
7. Enforcement
We may investigate suspected violations of this AUP. Depending on severity, we may apply one or more of the following measures:
- Warning: written notice describing the conduct and required remediation.
- Throttling or feature restriction: temporary limits on messaging, RFQ volume, API access, or AI features.
- Suspension: temporary suspension of the affected account(s) pending investigation.
- Termination: termination of the Agreement and the affected accounts under our Terms of Service.
- Legal action: referral to law enforcement and pursuit of civil remedies where warranted.
For severe violations — including active security incidents, ongoing spam campaigns, fraud, or conduct that puts other users at risk — we may act immediately without prior notice. Where we act with notice, we will give you a reasonable opportunity to remediate before escalating.
8. Reporting abuse
If you believe a user of the Service is violating this AUP — for example, sending you unsolicited RFQs, harvesting vendor data, or impersonating another organization — please report it to abuse@provendor.io. Include the sender's email, any message headers, and a description of the issue so we can investigate.
Security vulnerabilities should be reported to security@provendor.io. We appreciate coordinated disclosure and will work in good faith with researchers acting responsibly.
9. Changes
We may update this AUP to address new risks, features, or legal requirements. Material changes will be posted on this page with an updated “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance.
